Terms of Service

1. Service scope

VeliKey provides software and related services for policy-driven transit security and control-plane operations. Specific service features and commitments are defined in your order form and service agreement.

2. Account responsibilities

• You are responsible for account credentials and authorized use under your tenant.
• You must provide accurate registration and billing information.
• You are responsible for activity performed by users you authorize.

3. Acceptable use

• Do not use the services for unlawful, abusive, or unauthorized activity.
• Do not interfere with service integrity, availability, or security controls.
• Do not attempt unauthorized access to systems, tenants, or data.

4. Fees and payment

Fees are governed by your active commercial terms. Unless otherwise stated in writing, fees are non-refundable and payable according to your agreement.

5. Confidentiality

Each party may receive confidential information from the other. Both parties agree to protect confidential information using reasonable safeguards and to use it only for the purposes of the agreement.

6. Intellectual property

VeliKey retains all rights, title, and interest in the services, software, and documentation. Except for rights expressly granted, no additional rights are transferred.

7. Warranties and disclaimers

Services are provided in accordance with any express warranties in your commercial agreement. Except as expressly stated, services are provided "as is" and "as available."

8. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages. Aggregate liability is limited as set forth in the governing agreement.

9. Termination

Either party may terminate as permitted under applicable agreements. Upon termination, access may be suspended or disabled and data handling proceeds according to contractual and legal requirements.

10. Governing law

Governing law and venue are defined in your signed agreement. If no separate agreement exists, applicable law will be determined by the jurisdiction specified on your order form.

11. Changes to terms

We may update these Terms periodically. Material updates will be posted with a revised effective date.
